PolyForm Noncommercial 1.0.0 (https://polyformproject.org/licenses/noncommercial/1.0.0) licenses noncommercial use of the underlying software. It does not grant commercial rights. A customer who self-attests as a commercial user at signup needs a separate license grant -- this document is that grant's terms.
- Licensor: Cascade Logic Ltd, a private limited company registered in England and Wales (company no. 16782809), registered office at ATBS House, London Road, Beccles, England, NR34 8TS. - Licensee: the company or individual completing the self-attested commercial declaration at signup.
Subject to payment of the fee below, Licensor grants Licensee a non-exclusive, non-transferable, non-sublicensable license to run the software, self-hosted on Licensee's own infrastructure, for Licensee's own internal commercial use. No source distribution, resale, or hosting-as-a-service right is granted.
Flat fee, per workspace, not usage-metered or repo-count-tiered. $25/mo is an explicit, unvalidated placeholder -- not a final number. A coarser per-org license bundling multiple workspaces is a named future option, not priced yet.
Use is noncommercial if it is "not primarily intended for or directed towards commercial advantage or monetary compensation" (PolyForm Noncommercial's own definition) -- this is the actual license term, not any looser gut-check. A funded nonprofit whose activity itself is noncommercial remains a noncommercial user despite having raised capital. A bootstrapped for-profit remains a commercial user despite never having raised capital. The self-attestation question at signup and this EULA both use PolyForm's actual definition.
The license term is month-to-month, automatically renewing on Licensee's monthly billing date, coextensive with the payment cadence in Section 4. Either party may terminate for convenience on 30 days' written notice. Licensor may suspend or terminate the license immediately upon Licensee's failure to pay any fee when due, after a 10-day notice-and-cure period; the license terminates automatically, without further notice, if payment is not cured within that period.
THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS LICENSE SHALL NOT EXCEED THE TOTAL FEES PAID BY LICENSEE TO LICENSOR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
This license is governed by the laws of England and Wales, without regard to conflict-of-laws principles. Any dispute arising out of or relating to this license shall be resolved in the courts of England and Wales, and each party consents to the exclusive jurisdiction and venue of those courts.
Commercial (paying) customers are never asked to participate in the free-tier manual-comparison-sample obligation -- that obligation applies only to non-commercial, non-paying users as a condition of free use. An existing opt-in live-sampled-comparison path remains commercial customers' only route to contributing usage data, and stays itself opt-in.
Self-attestation is not technically enforced -- this EULA is the customer's contractual commitment to have declared truthfully, not a technical control.
The free-tier manual-comparison-sample obligation is framed as a contractual condition of the noncommercial license grant itself, not a separate GDPR data-processing consent. This framing has not yet had a real GDPR/legal read for EU free-tier users.
